The Board of the Society of Old Brentwoods has been working diligently on a restructuring proposal to modernise our operations and protect its assets for future generations of Old Brentwoods. The Board engaged Bates Wells, a city legal firm, who have extensive experience in both corporate restructuring and the Charity sector.
On Monday 16th December, the Board convened and unanimously agreed to adopt the proposals issued by Bates Wells (linked here), the minutes of the meeting are available by clicking here. Our next step is to engage with the membership to present the plans and vote on their adoption. Further information will be provided in advance of the first EGM.
The Current Society’s land and buildings are held on bare trust by its trustees subject to a declaration of trust dated 19 November 1976 (the Trust Deed). Paragraph 2 of the Trust Deed requires a 75% majority vote of the Current Society’s subscribing members present and voting at two separate general meetings, held no less than fourteen days apart, to authorise the trustees to dispose of the land. Therefore, two EGMs are required to fulfil the legal requirements of the 1976 Trust Deed to transfer the freehold of the land and buildings by way of donation to the newly established Old Brentwoods Society Charity, a charitable company, that will own the land. The meetings will be held at 7pm in Old Big School, Brentwood School on Wednesday 22nd January 2025, and Wednesday 12th February 2025.
